In these Terms, the following capitalised words and expressions have the meanings set out below:
Afyask / We / Us / Our: Afyask Telepharmacy Limited, a company incorporated in the United Republic of Tanzania with Registration Number 187879191, operating the Afyask prescription routing platform at afyask.com and via its mobile applications.
Platform: Collectively, the Afyask mobile application (iOS and Android), the WhatsApp prescription interface, the web portal at afyask.com, and the prescription routing API accessible by telehealth partners.
User / You / Your: Any individual or entity that accesses or uses the Platform, including patients, prescribers, pharmacy partners, and telehealth partner organisations.
Patient: A natural person who uses the Platform to submit, manage, or receive fulfilment of a pharmaceutical prescription.
Prescriber: A medical practitioner licensed by the Medical Council of Tanzania or a recognised East African equivalent who issues prescriptions through a telehealth partner platform integrated with Afyask.
Pharmacy Partner: A licensed pharmacy registered with the Tanzania Pharmacy Council that has entered into a partnership agreement with Afyask to receive and fulfil prescription routing requests.
Telehealth Partner: A third-party telehealth consultation platform that has integrated Afyask’s prescription routing API pursuant to a written partnership agreement.
Prescription: A lawful written or digital instruction issued by a licensed Prescriber authorising the dispensing of a specified medication to a named Patient.
Routing Service: Afyask’s core service of receiving a verified Prescription and matching it to the most appropriate in-stock Pharmacy Partner for fulfilment and delivery.
Delivery Service: The last-mile doorstep delivery of dispensed medication from a Pharmacy Partner to a Patient’s specified delivery address, arranged by Afyask through vetted logistics carriers.
Self-Upload Path: Afyask’s proprietary workflow enabling Patients to photograph and upload paper prescriptions for AI-assisted and human pharmacist verification and routing.
Account: A registered user account created on the Platform by a Patient, Pharmacy Partner, or Telehealth Partner organisation.
Sensitive Data: Health, medical, and prescription data classified as Sensitive Personal Data under the PDPA 2022.
SLA: Service Level Agreement (separate contract for partners)
PDPA: The Personal Data Protection Act, No. 11 of 2022 (United Republic of Tanzania).
Applicable Law: All laws, regulations, orders, and official guidance applicable to the use of the Platform in the United Republic of Tanzania, including the Pharmacy Act (Cap. 152), the TMDA Act, the PDPA 2022, and any applicable telehealth regulations.
Force Majeure Event: Any event beyond a Party’s reasonable control including natural disasters, epidemic, pandemic, acts of government, power failures, civil unrest, or failure of third-party infrastructure.
In these Terms: (a) references to “including” or “such as” are without limitation; (b) clause headings are for convenience only and do not affect interpretation; (c) the singular includes the plural and vice versa; (d) references to “writing” include electronic communications.
2.1 Agreement to Terms
By accessing or using the Platform in any manner, you confirm that: (a) you have read, understood, and agree to be bound by these Terms in their entirety; (b) you have the legal capacity to enter into a binding agreement; and (c) your use of the Platform complies with all Applicable Law.
2.2 Age Requirement
You must be at least 18 years of age to create an Account or use the Platform. If you are accessing the Platform on behalf of a legal entity, you represent that you have authority to bind that entity to these Terms.
2.3 Healthcare Professionals
Prescribers and Pharmacy Partners represent and warrant that they hold all licences, registrations, and approvals required under Applicable Law to practise their respective professions and to use the Platform in the manner contemplated by these Terms.
2.4 Modifications to Terms
Afyask may update these Terms from time to time. We will notify you of material changes at least 14 days before they take effect, by in-app notification and by email to your registered address. Your continued use of the Platform after the effective date of any update constitutes acceptance of the revised Terms. If you do not accept the revised Terms, you must cease using the Platform and close your Account.
2.5 Telehealth Partners
Where you access the Routing Service through a Telehealth Partner’s platform, your use of that platform is also governed by that platform’s own terms of service. In the event of conflict between those terms and these Terms, these Terms shall prevail with respect to Afyask’s services.
3.1 Routing Service
Afyask provides an automated prescription routing engine that receives verified prescriptions (via the Telehealth Integration Path or the Self-Upload Path) and routes them to the most appropriate in-stock Pharmacy Partner for dispensing and delivery. Afyask does not dispense medication directly and is not a pharmacy.
3.2 Telehealth Integration Path
Where a Patient uses a Telehealth Partner’s platform for a consultation, the following process applies:
• The Prescriber issues a digital Prescription through the Telehealth Partner’s system;
• The Telehealth Partner’s API transmits the Prescription to Afyask in real-time;
• Afyask’s routing engine matches the Prescription to the nearest in-stock Pharmacy Partner;
• The Pharmacy Partner dispenses the medication and arranges delivery;
• The Patient receives real-time status updates via the Telehealth Partner’s interface or directly via the Afyask Platform.
3.3 Self-Upload Path
Patients may upload a photograph of a paper Prescription via the Afyask app or WhatsApp interface. The following verification process applies:
• The uploaded image is assessed by Afyask’s AI pre-screening system for legibility, completeness, and structural validity;
• A licensed pharmacist reviewer verifies the Prescription within the target timeframe (15–60 minutes for standard prescriptions; longer for complex cases);
• High-risk Prescriptions are subject to a prescriber call-back for identity and authenticity verification;
• Verified Prescriptions are routed to an in-stock Pharmacy Partner for dispensing and delivery.
Afyask reserves the right to decline to route any Prescription that fails verification checks, is illegible, is suspected of being forged or altered, or is for a controlled substance excluded from the Delivery Service.
3.4 Delivery Service
Afyask coordinates last-mile delivery of dispensed medication through vetted third-party logistics carriers. Delivery is available to addresses within the agreed service geography (currently Dar es Salaam). Delivery timeframes are indicative only and may be affected by traffic, carrier availability, and other factors outside Afyask’s control.
3.5 Platform Availability
Afyask aims to maintain 99% platform uptime during normal business hours. However, we do not guarantee uninterrupted availability. Planned maintenance will be communicated to users with reasonable advance notice. Afyask is not liable for loss arising from temporary unavailability of the Platform.
3.6 Service Limitations
The Platform does not support:
• Prescriptions for Schedule I or other controlled substances restricted from delivery by Applicable Law;
• Emergency or urgent medication requiring immediate dispensing without verification;
• Prescriptions issued by practitioners not licensed under Applicable Law;
• Prescriptions where the original prescription document cannot be verified as authentic.
Afyask reserves the right to expand, modify, or restrict the scope of the Routing Service at any time on reasonable notice to users.
4.1 Account Creation
To use the full features of the Platform, you must create an Account. You agree to provide accurate, complete, and current information during registration and to promptly update your information if it changes. Afyask reserves the right to suspend or terminate Accounts where registration information is found to be false or misleading.
4.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity conducted through your Account. You must immediately notify Afyask at info@afyask.com if you suspect any unauthorised access to your Account. Afyask is not liable for loss arising from your failure to maintain account security.
4.3 One Account Per User
Each individual may hold only one patient Account. Pharmacy Partners and Telehealth Partners are issued organisation-level Accounts with designated administrator access. Creating multiple Accounts to circumvent a suspension or restriction is a material breach of these Terms.
4.4 Account Verification
Afyask may require you to complete identity verification before accessing certain features of the Platform, particularly for the Self-Upload Path and for pharmacy partner onboarding. Failure to complete verification may restrict your access to relevant Platform features.
4.5 Account Termination by User
You may close your Account at any time by contacting info@afyask.com. Prescription records required by Applicable Law will be retained after Account closure for the periods specified in our Privacy Policy. We will confirm deletion of personal data that is not subject to a retention obligation within 30 days of your request.
5.1 Prescription Authenticity
By submitting a Prescription through the Platform (whether via the Telehealth Integration Path or the Self-Upload Path), you warrant that: (a) the Prescription is genuine, was issued by a licensed Prescriber to you personally, and has not been altered; (b) you are the patient named on the Prescription; and (c) the Prescription has not previously been dispensed in full (i.e., you are not seeking duplicate dispensing).
5.2 Accurate Information
You must provide accurate delivery information, contact details, and any information requested by Afyask for verification purposes. Afyask is not responsible for non-delivery or incorrect dispensing resulting from inaccurate information provided by you.
5.3 Medical Responsibility
You acknowledge that: (a) the Platform does not provide medical advice; (b) your decision to request fulfilment of a Prescription is made on the basis of advice from your Prescriber; (c) if you have any questions or concerns about your medication, you should consult your Prescriber or a qualified pharmacist before dispensing; and (d) in a medical emergency, you should contact emergency services and not rely on the Platform.
5.4 Medication Receipt
You must ensure that an authorised adult is available at the delivery address to receive dispensed medication. Afyask’s logistics partners will not leave medication unattended. Failed delivery attempts will be communicated to you and a redelivery arranged where possible.
5.5 Prohibited Conduct
Patients must not use the Platform to:
• Submit fraudulent, forged, or altered Prescriptions;
• Seek to obtain prescription medication for a purpose other than the patient’s own treatment as directed by their Prescriber;
• Resell or redistribute dispensed medication;
• Circumvent Afyask’s verification processes by submitting the same Prescription through multiple channels;
• Use the Platform in a manner that could endanger patient safety.
Any breach of this clause constitutes a material breach of these Terms and may result in immediate Account suspension and referral to the relevant regulatory authorities.
6.1 Licence and Registration
Prescribers using the Platform confirm that they: (a) hold a current and valid licence to practise medicine issued by the Medical Council of Tanzania or a recognised equivalent; (b) are entitled to prescribe the medications they issue through the Platform under Applicable Law; and (c) will immediately notify Afyask if their licence is suspended, revoked, or subject to restriction.
6.2 Prescribing Standards
Prescriptions transmitted through the Platform must comply with all applicable prescribing standards, formulary requirements, and TMDA guidelines. Prescribers remain solely responsible for their clinical decisions and for the accuracy and appropriateness of each Prescription they issue.
6.3 Call-Back Cooperation
Prescribers must respond promptly to call-back requests from Afyask’s verification team in respect of high-risk Prescriptions. Failure to respond within a reasonable time may result in the Prescription being declined for routing.
6.4 No Incentivised Prescribing
Prescribers must not issue Prescriptions for medications they have a financial interest in supplying, in a manner that conflicts with their professional obligations or Applicable Law. Afyask may decline to route Prescriptions where it reasonably suspects a conflict of interest.
7.1 Licence Requirements
Pharmacy Partners confirm that they hold a current licence issued by the Tanzania Pharmacy Council and all other permits required to operate as a retail dispensing pharmacy under Applicable Law. Pharmacy Partners must immediately notify Afyask of any change in licensing status.
7.2 Dispensing Standards
Pharmacy Partners are solely responsible for the accuracy of dispensing, including correct medication, dosage, labelling, and patient counselling in accordance with Tanzania Pharmacy Council standards and Applicable Law. Afyask does not supervise or control the dispensing process.
7.3 Stock Accuracy
Pharmacy Partners must maintain accurate and up-to-date stock information in the Afyask system. Routing failures caused by inaccurate stock reporting may result in suspension from the Afyask pharmacy network.
7.4 Routing Fee
Pharmacy Partners agree to pay Afyask the per-prescription routing fee specified in their Partner Agreement upon successful dispensing of a routed Prescription. Afyask will issue monthly reconciliation statements. Disputed routing fees must be raised within 14 days of receipt of the reconciliation statement.
7.5 Quality of Service
Pharmacy Partners must maintain Afyask’s minimum service standards, including dispensing turnaround times and patient interaction quality standards as set out in the Partner Agreement. Persistent failure to meet service standards may result in suspension from the pharmacy network.
8.1 Patient Charges
Patients are not charged by Afyask for accessing the Routing Service itself. Patients pay the dispensing price of their medication directly to the Pharmacy Partner. Where a Delivery Service fee applies, this is disclosed to the Patient prior to confirming their order. Afyask will clearly display all applicable charges before a Patient commits to an order.
8.2 Delivery Fees
Delivery fees are set by Afyask and may vary by delivery zone, distance, and applicable promotional pricing. Current delivery fees are displayed within the Platform at the time of order. Delivery fees are non-refundable unless the non-delivery results from an error by Afyask or its logistics partners.
8.3 Pharmacy Partner Routing Fee
Pharmacy Partners pay Afyask a per-prescription routing fee as agreed in their Partner Agreement. The routing fee is payable on each Prescription successfully dispensed through the Routing Service. Afyask may adjust its routing fee schedule on 30 days’ written notice to Pharmacy Partners.
8.4 Telehealth Partner Integration Fee
Telehealth Partners pay a one-time API integration fee and, where agreed, ongoing SaaS or white-label licensing fees as specified in their partner agreement. These fees are subject to the terms of that separate agreement.
8.5 Payment Processing
Payments made through the Platform are processed by Afyask’s designated payment processing partner. Afyask does not store full payment card numbers. Refunds are processed in accordance with Clause 9 (Returns and Refunds) and in compliance with applicable consumer protection law.
8.6 Taxes
All fees quoted include applicable value added tax (VAT) or other taxes where required by Tanzanian law. Where a User’s use of the Platform gives rise to withholding tax obligations, the User is responsible for compliance with those obligations.
9.1 Prescription Medication Returns
Due to the nature of pharmaceutical products and patient safety requirements, dispensed medication cannot be returned once it has left the pharmacy. This restriction complies with Tanzania Pharmacy Council guidelines on the return of dispensed medicines and is for the safety of all patients.
9.2 Order Cancellation
A Patient may cancel a prescription order at any time before the Pharmacy Partner has commenced dispensing. Once dispensing has commenced, cancellation is not available. Afyask will communicate the dispensing commencement to the Patient via in-app notification as soon as it occurs.
9.3 Failed Delivery Refunds
If a delivery fails due to an error on the part of Afyask or its logistics partner (for example, delivery to the wrong address, damaged packaging, or non-delivery without a valid reason), Afyask will arrange re-delivery at no additional charge or, at the Patient’s election, a full refund of the delivery fee.
9.4 Incorrect Dispensing
If a Pharmacy Partner dispenses an incorrect medication or dosage, Afyask will facilitate the return of the incorrect item and ensure correct dispensing at no additional cost to the Patient. Afyask will cooperate with the Patient and the Pharmacy Partner to resolve such incidents within 48 hours of notification.
9.5 Refund Processing Time
Approved refunds will be processed within 7 business days. Refunds are credited to the original payment method. Afyask is not responsible for delays in refund processing by payment card issuers or mobile money providers.
10.1 Afyask’s IP
All intellectual property rights in the Platform, including the source code, algorithms, user interface, trade marks, trade names, logos, documentation, and all content created by Afyask, are owned by or licensed to Afyask. Nothing in these Terms transfers any ownership of Afyask’s intellectual property to you.
10.2 Licence to Use the Platform
Afyask grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for its intended purposes in accordance with these Terms. This licence does not permit you to: (a) copy, reproduce, or distribute any part of the Platform; (b) reverse-engineer, decompile, or disassemble the Platform; (c) use the Platform to create a competing service; or (d) sublicense or transfer your access rights to any third party.
10.3 API Licence for Telehealth Partners
Telehealth Partners are granted a separate API licence under the terms of their Partner Agreement. That licence is personal to the Telehealth Partner and may not be sublicensed or transferred without Afyask’s prior written consent.
10.4 User Content
Prescription images and other content you upload to the Platform remain your property (or the property of the issuing healthcare institution, as applicable). By uploading content, you grant Afyask a limited licence to use that content solely for the purpose of providing the Routing Service. Afyask will not use prescription images for any other purpose and will delete them in accordance with our Privacy Policy.
10.5 Feedback
If you provide Afyask with suggestions, feedback, or ideas for improving the Platform, you grant Afyask a perpetual, royalty-free licence to use that feedback without restriction. You waive any claim to compensation for feedback incorporated into the Platform.
11.1 Privacy Policy
Afyask’s collection, use, storage, and sharing of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy is available at afyask.com/privacy and in the Platform settings.
11.2 PDPA Compliance
Afyask processes all personal data in compliance with the Personal Data Protection Act, No. 11 of 2022 (Tanzania). Afyask is registered with the Personal Data Protection Commission (PDPC) as a Data Controller and, where applicable, as a Data Processor.
11.3 Health Data
Prescription and medical data constitute Sensitive Personal Data under the PDPA. By using the Platform, you consent to Afyask’s processing of your prescription data for the sole purpose of providing the Routing Service and Delivery Service. This consent may be withdrawn at any time, but withdrawal may prevent Afyask from providing its services to you.
11.4 Data Sharing with Partners
Your prescription data will be shared with the Pharmacy Partner dispensing your medication and with Afyask’s logistics partner for delivery purposes. Afyask does not sell your health data to third parties, insurers, advertisers, or employers. All third-party data processors are bound by Data Processing Agreements consistent with the PDPA.
11.5 Data Security
Afyask implements industry-standard technical and organisational measures to protect your personal data, including TLS 1.3 encryption in transit, AES-256 encryption at rest, role-based access controls, and regular security audits. A full description of our security practices is set out in our Privacy Policy.
In addition to the specific obligations set out elsewhere in these Terms, you must not use the Platform to:
• Submit, transmit, or facilitate fraudulent, forged, altered, or duplicate prescriptions;
• Obtain prescription medication for resale, distribution, or any purpose other than the personal treatment of the named patient;
• Impersonate any person, medical practitioner, or pharmacy;
• Introduce viruses, malware, or other harmful code into the Platform;
• Attempt to gain unauthorised access to other users’ accounts or to Afyask’s systems or infrastructure;
• Use automated tools, bots, or scrapers to access the Platform in a manner that disrupts normal service;
• Use the Platform in connection with any illegal activity under Applicable Law;
• Harass, abuse, or threaten Afyask staff, pharmacy partners, or other users;
• Circumvent any security, verification, or fraud prevention feature of the Platform;
• Use the Platform in any manner that could damage Afyask’s reputation or brand.
Breach of this clause may result in immediate Account suspension or termination without notice, referral to relevant authorities, and civil or criminal liability under Applicable Law.
13.1 Not a Medical Provider
Afyask is a technology platform. Afyask is not a pharmacy, medical clinic, or healthcare provider. Afyask does not employ doctors, pharmacists, or other healthcare professionals in a clinical capacity on behalf of users. All clinical decisions, including prescribing decisions and dispensing decisions, are made by licensed healthcare professionals who are independent of Afyask.
13.2 No Medical Advice
Nothing on the Platform constitutes medical advice, a medical diagnosis, or a recommendation for any particular medication or treatment. Afyask expressly disclaims any liability for reliance on information appearing on the Platform as medical advice.
13.3 Pharmacy Partner Independence
Pharmacy Partners are independent businesses. Afyask does not supervise, control, or warrant the dispensing practices, medication quality, or professional conduct of Pharmacy Partners. Your contractual relationship for medication purchase is with the Pharmacy Partner, not with Afyask.
13.4 Prescription Verification Limitations
Afyask’s verification process is designed to reduce the risk of fraudulent prescriptions being fulfilled but does not guarantee detection of all fraud. Afyask is not liable for loss arising from a fraudulent prescription that passes our verification checks where Afyask’s verification process was conducted with reasonable care.
13.5 Third-Party Services
The Platform integrates with third-party services (including telehealth platforms, logistics providers, and payment processors). Afyask is not responsible for the performance, availability, or practices of these third parties. Your use of third-party services is subject to their own terms.
13.6 Platform Provided “As Is”
To the maximum extent permitted by Applicable Law, the Platform is provided “as is” and “as available” without warranties of any kind, express or implied. Afyask does not warrant that the Platform will be error-free, uninterrupted, or free of harmful components.
14.1 Exclusion of Consequential Loss
To the maximum extent permitted by Applicable Law, Afyask shall not be liable for any indirect, incidental, special, consequential, or punitive loss or damage, including loss of profits, loss of data, loss of business opportunity, or reputational harm, arising out of or in connection with your use of or inability to use the Platform.
14.2 Cap on Liability
Subject to Clause 14.3, Afyask’s total aggregate liability to any User for all claims arising out of or related to these Terms or the Platform, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the greater of: (a) the total fees paid by that User to Afyask in the 12 months preceding the claim; or (b) TZS 500,000 (five hundred thousand Tanzanian Shillings).
14.3 Non-Excludable Liability
Nothing in these Terms excludes or limits Afyask’s liability: (a) for death or personal injury caused by Afyask’s negligence; (b) for fraud or fraudulent misrepresentation; (c) for any other liability that cannot be excluded or limited under Applicable Law, including consumer protection rights under Tanzanian law.
14.4 Patient Safety
Notwithstanding the foregoing, Afyask recognises that its Platform operates in a health context. Afyask will exercise reasonable care in its verification and routing processes and will cooperate fully with any regulatory inquiry or investigation arising from a patient safety incident involving the Platform.
15.1 User Indemnity
You agree to indemnify, defend, and hold harmless Afyask, its directors, officers, employees, agents, and partners from and against any claims, liabilities, damages, fines, penalties, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms; (b) your violation of Applicable Law; (c) your submission of a fraudulent, forged, or altered Prescription; (d) any misrepresentation made by you in connection with your use of the Platform; or (e) any claim by a third party arising from your use of the Platform.
15.2 Pharmacy Partner Indemnity
Pharmacy Partners additionally indemnify Afyask against any claim arising from: (a) an error in dispensing a Prescription routed through the Platform; (b) a breach by the Pharmacy Partner of its obligations under the Tanzania Pharmacy Council’s regulations; or (c) a product liability claim arising from medication dispensed by the Pharmacy Partner.
16.1 Suspension by Afyask
Afyask may immediately suspend your access to the Platform, without prior notice, in any of the following circumstances:
• We reasonably suspect fraud, forgery, or misuse of the Platform; • You have materially breached these Terms and failed to remedy the breach within 48 hours of written notice (or immediately where the breach is incapable of remedy);
• We are required to do so by a regulatory authority, law enforcement agency, or court order;
• Your use of the Platform poses a risk to patient safety or to the security of Afyask’s systems;
• You have provided false or misleading registration information.
16.2 Termination by Afyask
Afyask may terminate your Account on 30 days’ written notice for any reason. Afyask may terminate your Account immediately on written notice where any of the suspension grounds in Clause 16.1 exist and have not been remedied within the applicable cure period.
16.3 Consequences of Termination
Upon termination of your Account: (a) your licence to use the Platform ceases immediately; (b) Afyask will retain prescription records for the periods required by Applicable Law; (c) outstanding fees payable by you to Afyask remain due and payable; (d) Afyask will process any pending prescription orders already in fulfilment at the time of termination, unless termination is due to fraud or regulatory requirement.
16.4 Survival
The following provisions survive termination of these Terms: Clause 1 (Definitions), Clause 10 (Intellectual Property), Clause 11 (Privacy and Data), Clause 13 (Disclaimers), Clause 14 (Limitation of Liability), Clause 15 (Indemnification), Clause 17 (Governing Law), and Clause 18 (Dispute Resolution).
These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by and construed in accordance with the laws of the United Republic of Tanzania. The courts of the United Republic of Tanzania shall have exclusive jurisdiction in respect of any dispute arising out of or in connection with these Terms, subject to Clause 18 (Dispute Resolution).
18.1 Informal Resolution
If you have a complaint or dispute arising from your use of the Platform, please contact us in the first instance at info@afyask.com We will endeavour to resolve all complaints within 10 business days. We believe that most disputes can be resolved through direct communication.
18.2 Mediation
If a dispute cannot be resolved informally within 30 days of written notification, the Parties agree to refer the dispute to mediation before a mutually agreed mediator in Dar es Salaam. The costs of mediation shall be shared equally between the Parties unless otherwise agreed.
18.3 Arbitration
If mediation fails to resolve the dispute within 30 days of the mediator being appointed, the dispute shall be finally resolved by binding arbitration in Dar es Salaam under the rules of the Tanzania Institute of Arbitrators or such other arbitral institution as the Parties may agree. The arbitration shall be conducted in English. The award of the arbitral tribunal shall be final and binding on both Parties.
18.4 Injunctive Relief
Nothing in this Clause prevents either Party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction where necessary to protect its intellectual property rights, confidential information, or to prevent imminent patient harm.
18.5 Consumer Rights
Where you are a consumer under Tanzanian consumer protection law, nothing in this Clause affects your statutory rights to seek redress through the Fair Competition Commission of Tanzania or other applicable consumer protection body.
19.1 Entire Agreement
These Terms, together with the Privacy Policy and any applicable Partner Agreement, constitute the entire agreement between you and Afyask with respect to the Platform and supersede all prior agreements, representations, and understandings relating to the subject matter.
19.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or, if not capable of modification, severed from these Terms. The remaining provisions shall continue in full force and effect.
19.3 Waiver
Afyask’s failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorised representative of Afyask.
19.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without Afyask’s prior written consent. Afyask may assign its rights and obligations under these Terms to any successor entity or purchaser of all or substantially all of Afyask’s business assets, provided that such assignment does not materially affect the quality of service you receive.
19.5 Force Majeure
Neither Party shall be liable for any failure or delay in performance resulting from a Force Majeure Event. The Party affected must notify the other within 5 business days of becoming aware of the Force Majeure Event and must use reasonable efforts to mitigate its effects. If a Force Majeure Event continues for more than 30 days, either Party may terminate the affected services on written notice.
19.6 Notices
Notices to Afyask under these Terms must be sent to info@afyask.com or by post to: Afyask Limited, Dar es Salaam, Tanzania. Afyask will send notices to you at your registered email address or via in-app notification. Notices are effective upon delivery.
19.7 Language
These Terms are written in English. If translated into another language, the English version shall prevail in the event of any inconsistency.
19.8 No Partnership
Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Afyask. Pharmacy Partners and Telehealth Partners are independent contractors.
